Lloyd J. MacNeil represents developers, sponsors, investors and lenders of capital and infrastructure projects. His principal focus is on renewable energy and emerging energy technologies, where he has been a leading advisor since the emergence of wind energy as a competitor to fossil fuels as an energy source. He advises clients throughout the arc of development, construction, operation, financing, and purchase and sale. He also advises commercial and industrial clients on energy portfolio services and energy efficiency solutions.
Lloyd served as general counsel for Edison Energy, a portfolio of energy companies held by Edison International. He has more than 20 years of legal counsel experience in the senior project finance, corporate and commercial arenas.
Oversaw Edison Energy’s acquisitions of a portfolio of energy services companies, the sale of a water infrastructure subsidiary and the sale of a solar energy subsidiary. Represented a developer and sponsor in the development, financing and sale of a multi-phase utility scale solar photovoltaic project in San Antonio, TX – at the time the largest municipal utility solar project in the US. Financings consisted of commercial bank loans, government-funded bank financings and tax equity investments. Ancillary transactions included construction financing for a photovoltaic panel manufacturing facility. Represented a developer and sponsor on the refinancing of a biomass-fired power facility in CA. Represented a developer and sponsor in the acquisition, development and financing of a multi-phase wind energy project in CA. Financings included equipment financing, construction financing and a sale-leaseback financing for the first phase of the project, as well as a portfolio financing for the next four project phases (a Rule 144A bond offering, a bank cash grant bridge facility and a forward commitment for a sale-leaseback), making it the first large portfolio of wind projects to use a leveraged lease finance structure in the US.
